Paramount Skydance on Monday sued Warner Bros Discovery seeking greater disclosure on its proposed $82.7 billion deal with Netflix, escalating a high-stakes battle for control of one of Hollywood’s most storied media groups.The David Ellison-led company also said it plans to nominate directors to the Warner Bros Discovery board and prepare a proxy contest, marking one of its most aggressive moves yet to persuade shareholders that its hostile $30-per-share all-cash bid is superior to Netflix’s $27.75-per-share cash-and-stock offer.

In a letter to shareholders, Paramount said it would also propose an amendment to Warner Bros Discovery’s bylaws requiring shareholder approval for any separation of the company’s cable television business, a central component of the Netflix transaction.The lawsuit, filed in Delaware Chancery Court, seeks to compel Warner Bros Discovery to disclose how it valued the Netflix deal, the planned spin-off of its Global Networks assets and any associated debt transfers. Paramount said shareholders cannot make an informed decision without those details.“WBD has provided increasingly novel reasons for avoiding a transaction with Paramount, but what it has never said, because it cannot, is that the Netflix transaction is financially superior to our actual offer,” Paramount wrote in a letter to Warner Bros Discovery shareholders.“Unless the WBD board of directors decides to exercise its right to engage with us under the Netflix merger agreement, this will likely come down to your vote at a shareholder meeting,” it added.Paramount said last week that the proposed cable spin-off was virtually worthless and reiterated its amended $108.4 billion offer after another rejection by the Warner Bros Discovery board. The revised proposal includes $40 billion in equity personally guaranteed by Oracle co-founder Larry Ellison, the father of Paramount chief executive David Ellison, and $54 billion in debt.In a separate press release, Paramount said Warner Bros Discovery’s refusal to engage left shareholders as the ultimate decision-makers. “Over the last few days, following the decision by Warner Bros. Discovery (‘WBD’) not to engage with Paramount on our $30 per share cash offer to acquire all of WBD… we keep getting the same question: what happens next?” the company said.It added that it would nominate a slate of directors at Warner Bros Discovery’s 2026 annual meeting and, if necessary, seek votes against approval of the Netflix transaction.“Paramount will propose an amendment to WBD’s bylaws to require WBD shareholder approval for any separation of Global Networks… to ensure that you get the final decision on which offer is better for you,” the release said.Paramount argues that its all-cash bid offers greater certainty and fewer regulatory hurdles than the Netflix deal, which involves a combination of cash, Netflix shares and a planned spin-off of cable assets. It has also pointed to the weak performance of Versant, Comcast’s cable spin-off, as evidence that such transactions destroy shareholder value.Shares of Warner Bros Discovery were down 1.5 percent in early trading, while Netflix rose 0.8 percent and Paramount gained 0.3 percent. Netflix and Warner Bros Discovery did not immediately respond to requests for comment.Warner Bros Discovery, which owns HBO, CNN and Warner Bros Studios, is prized for its film and television assets and extensive content library, including the Harry Potter and DC Comics franchises. The takeover fight underscores the intensifying rivalry between legacy media companies seeking scale and streaming giants pursuing consolidation.Paramount’s tender offer is set to expire on January 21, though the company has the option to extend it.

During test runs on the Kota–Nagda section, the Vande Bharat sleeper achieved its designed top speed of 180 kmph. One of the highlights of the trial was a stability demonstration in which glasses filled with water remained steady without spilling, even at speeds exceeding 180 kmph. Although the train is designed for semi-high-speed operations of up to 160 kmph in regular service, trials have been conducted at 180 kmph. Actual operating speeds will depend on the condition and capability of tracks on different sections of the network.The sleeper version is designed as the long-haul, overnight counterpart to the Vande Bharat chair car services currently operating across India.Drawing inspiration from European rail design, the sleeper coaches feature cushioned berths for improved comfort and redesigned access to upper berths for easier movement. Passenger amenities include soft night lighting, integrated audio-visual passenger information systems, CCTV surveillance and modular pantry units.The trains will be equipped with aircraft-style bio-vacuum toilets, including facilities for persons with disabilities, baby care areas and shower units with hot water in the first-class coach. Safety systems include the indigenous KAVACH anti-collision technology, while regenerative braking will be used to enhance energy efficiency, similar to existing Vande Bharat chair car trains.Additional features include sealed gangways and automatic inter-coach doors to maintain air quality and cabin temperature, along with personal reading lights, charging points, foldable snack tables and interiors finished with GFRP panels. Train doors will open automatically at designated stations. A centralised coach monitoring system and emergency communication facilities will allow passengers to directly contact the locomotive pilot when necessary.

Venezuela’s strongman was gone, his regime hollowed out, and Donald Trump had his biggest foreign policy victory since returning to the White House. But the real story did not begin in Caracas. It began decades earlier, in South Florida, among a community that never stopped believing history owed it a reckoning. To understand why Venezuela became the target of a full-blown American extraction operation, you have to understand Cuba. And to understand why Cuba still looms so large in US strategy, you have to understand Marco Rubio.

The exile lens

Cuban exile politics in Florida is not simply about one country. It is about a revolution that never ended. Families who fled Fidel Castro’s takeover carried with them a sense of unfinished business. In Miami, the fall of Havana remained a living, emotional project.That mindset shaped an entire political culture. Anti-communism was not a policy preference. It was a moral identity. Every Latin American leftist government was read through the same story: this is how it starts, this is how it ends.Marco Rubio grew up inside that world. His political formation was not shaped by textbooks or diplomatic theory but by stories of a lost homeland, a stolen future and a US that, in exile memory, had failed to finish the job in 1961. Cuba was not history. It was a wound.That wound shaped his worldview.

When Venezuela stopped being Venezuela

When Hugo Chávez came to power in 1998, Cuban exiles saw something they recognised immediately. A populist leader rewriting institutions. A political movement built around class struggle. A rapid alignment with Havana.The details were different, but the pattern was familiar.As Venezuela slid into authoritarianism and economic collapse under Chávez and later Maduro, millions fled. Hundreds of thousands ended up in Florida, folding their own trauma into Miami’s existing exile culture. The Cuban and Venezuelan stories fused into one.To that community, Venezuela was not a separate tragedy. It was Cuba replayed on the mainland.Rubio absorbed this shift as he rose through Florida politics and into the US Senate. Over time, Venezuela became central to his political identity. Maduro was not just another dictator. He was a strategic extension of Havana.That framing turned Venezuela into something larger than itself. It became a front in a long-running ideological war.

From sanctions to strategy

During Trump’s first term, Rubio pushed relentlessly for a hard line against Maduro. Sanctions were tightened. Opposition figures were elevated. But the regime held. The international effort to remove Maduro stalled. What changed in Trump’s second term was not Rubio’s objective. It was his argument.The language of democracy and human rights no longer carried weight in Trump’s White House. So Rubio reframed Venezuela as a security threat. Drug trafficking. Russian influence. Chinese penetration. Criminal networks. The message was simple: this was not about nation-building. This was about protecting US power in its own hemisphere.That logic resonated. Maduro’s removal in 2026 was the result of that shift. It was not presented as a democratic rescue mission. It was presented as a strategic extraction.

The Cuba shadow

In Havana, the message was immediately understood.Venezuela had long been Cuba’s economic lifeline, especially through subsidised oil and security cooperation. Maduro’s fall was not just a blow to Caracas. It was a warning shot at Havana.Trump made the threat explicit, telling Cuba to make a deal or face consequences. Rubio did not need to say much at all. His entire political life had been aimed at that moment.For Cuban exiles, Venezuela’s collapse revived an old belief: if Caracas can fall, Havana must be next.

Policy or personal history

Supporters argue that Rubio’s hard line finally brought clarity to a region that had been left to rot under authoritarian rule. They say Venezuela was not a victim of US ambition but of its own corruption and mismanagement, and that decisive action was long overdue. Critics see something else: a foreign policy shaped less by cold strategy than by inherited memory. In their view, Rubio’s exile lens turns complex societies into symbols, and living nations into stand-ins for a trauma that began in 1959. What is undeniable is that Trump’s Venezuela policy is not just about oil, migration or geopolitics. It is also about history, identity and a political culture forged in loss.Maduro was not removed simply because Venezuela failed. He was removed because, in Marco Rubio’s worldview, Venezuela had become Cuba. And for half a century, that has been the one story he has never stopped trying to finish.
